XP would run ok if you got more RAM.
just turn off the visual effects and use the Windows Classic theme, etc.
right click ur desktop->properties
select windows classic and hit ok
with your specs xp will run like ass no matter what, get 2kpro
I'm using my old pc now (733 Mhz celeron with XP - other pc busy with dvd encoding ) and it's as quick as 2000 would be. Your Duron is prob. a bit quicker than my celeron in performance, even though my Mhz is slightly higher than yours.
So take it from me, i've used both OS on this system and XP is the easy winner. I've also ran XP with 64 Mb of ram without any probs. But i would recommend you add the extra 64 Mb to improve performance.
But if you want to find out for yourself download both and see the difference.

yea it seem like majority wants me to get xp or win 2k pro , i will try both see which one is better.
