id like to overclock my 256mb of DDR SDRAM.........
iv read countless tutorial about goin into bios, but the memory speed in my bios is grey out so i cannot touch it :(

or my cpu p4 2.0ghz

not really, you could always try and update your bios or find some modded bios.
