I had a similar problem when I upgraded from 98 to XP, disabling the auto-reboot is a good idea only because it lets you see what the actual error message is straight away.
I contacted MS tech help and they were about as useful as an ejector seat in a helicopter. The only way I cured the problem was to format and do a clean install, never had the problem since.
