Use Cinema Craft Encoder to encode it's far better than TMPEGEnc. It gives better quality and it's faster.

Every time I try to convert a AVI to VCD it displays inverted (upside down) on Windows Media Player and also my DVD player.

Is there a option in NERO 5.5.9.9 that makes this occur or is there a way to avoid this occuring?

It is a flaw in direct show, I think. Get the ffdshow direct show decoder if you don't already have it. In the configuration windows, highlight"misc." and check the "flip video" box.
