To the best of my knowledge no, the startup disk contains the files needed for accessing the CD-ROM and other essential/useful utilities such as fdisk,format etc etc.

ofcourse. Do an upgrade to WindowsXp from 98
When you insert the setup cd while logged in 98 itself, choose "Upgrade" instead of New Installation.
