You'll end up upgrading almost everything except maybe the drives (optical and hard drive and floppy), possibly case but it depends.

what do you have now? (power supply, case, etc.)

here is:

MOTHERBOARD: ABIT NF7-S - $94

CPU:
AMD Athlon XP 2500+ - $81

With the motherboard and ram i chose for you this processor can easily be OCed to the speed of a 3200+

RAM: OCZ 512mb (256mbx2) PC3200 - $94

Now the motherboard and cpu were WAY under your budget so that money could either go towards other nice parts like a really nice video card, or you could use it all and instead of the 2500+ go for a nice 64bit processor

so if you want to spend more on processor you could go with one of these:

Athlon 64 3000+ - $223

Athlon 64 3200+ - $282

The computer parts you posted look pretty good. I think I might want to go with an intel pentium 4 3.2ghz. Here are the parts I have found so far: This MEMORY , this MOTHERBOARD , and this PROCESSOR

Is a "AMD Athlon 64 3200+, 1 MB L2 Cache" faster than a "Intel LGA 775 Pentium 4 540 3.2 GHz, 800MHz FSB, 1MB L2 Cache w/ Hyper Threading Technology"?

Wait, is a AMD Athlon 64 3400+, 1MB L2 Cache, 64-bit Processor in general faster than a Intel Pentium 4 3.2Ghz Hyper Threading?

the AMD costs $404 @ newegg, the intel $300........

but that AMD is the newest there is i believe, and that intel chip is an older one........

i cant seem to find any benchmarks though......

At the moment, the Intel chip is generally regarded to be slightly faster than the Athlon64 chip.

But remember that 64-bit Windows is due for release any time soon, and it won't run on the intel chip. At that point you will see the full power of the Athlon64 chip unleashed. An i think it will wipe the floor with the intel chip.

@clocker, keep your hands (and everything else) off my bargepole.
