Help replacing a file

Hello experts!

I've got this file "xxx" that I need to replace "yyy" with.
yyy is located here WINDOWS\system32\yyy
I was told to use Norton Commander and not XP because XP uses the file.
I can't copy the file over because Norton Commander says the file is in use..
I guess xp is using it....
So, how can I use Norton Commander without using XP?

I've found this is a much easier and safer way to replace system files.
